BY ACCESSING OR USING THE DIGITAL SERVICES, YOU ACCEPT AND AGREE TO BE LEGALLY BOUND BY AND COMPLY WITH THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT ACCESS OR USE THE DIGITAL SERVICES. SPECIFICALLY, PLEASE TAKE NOTICE THAT WITH LIMITED EXCEPTIONS, ALL DISPUTES BETWEEN YOU AND US REGARDING THIS AGREEMENT ARE SUBJECT TO BINDING ARBITRATION ON AN INDIVIDUAL BASIS RATHER THAN JURY TRIALS, INCLUDING CLASS ACTION LAWSUITS, IN COURTS AND ONLY SPECIFIC REMEDIES ARE AVAILABLE TO YOU. Overview

In the Highlights section, we provide an overview of the terms and conditions that apply to your access to or use of a U.S. website, mobile app or other digital service (each a "Digital Service") operated by DriveLane ("we", "us", "our" or "DriveLane").

The Digital Services include a platform for vehicle listings and information services. DRIVELANE IS NOT AN AUTOMOBILE BROKER, DEALER OR TRADITIONAL AUCTIONEER AND WE DO NOT SELL, EXCHANGE, BUY, OR OFFER FOR SALE, NEGOTIATE OR ATTEMPT TO NEGOTIATE, A SALE OR EXCHANGE OF AN INTEREST IN ANY VEHICLE LISTED ON THE DIGITAL SERVICES. DriveLane has never: (I) held title for any vehicle listed on the Digital Services, (2) inspected any vehicle listed on the Digital Services or (3) had any vehicle listed on the Digital Services in its legal possession.

Application and Acceptance of the Terms of Use

Each time you access or use the Digital Services, you agree to be bound by the Terms of Use (including the binding arbitration provision) along with our Privacy Notice.
You acknowledge that we will use information we obtain about you in connection with your access to and use of the Digital Services in accordance with our Privacy Notice.
You acknowledge and agree that the Agreement is solely a contract between you and DriveLane and does not govern any sale, transaction, or relationship between you and any other User or third party.

Your Responsibilities

You are responsible for maintaining the accuracy of any information you submit to us.
You are solely responsible for any information you provide to us.
You are responsible for your conduct in relation to the Digital Services.

Intellectual and Other Proprietary Rights

As between DriveLane and you, DriveLane owns all right, title and interest in and to the copyrights, trademarks, and other intellectual property rights associated with the Digital Services except with respect to your User Content.
You may not build a business, resell, or make any commercial use of the Digital Services or Content.
We reserve the right to take appropriate action against users who repeatedly infringe proprietary rights.

Release, Indemnity, Disclaimers and Limitation of Liability

You release DriveLane from all damages, losses, and liabilities arising out of any dispute with other Users or third parties.
You agree to indemnify and hold DriveLane harmless from any claims relating to your use of the Digital Services.
DriveLane disclaims warranties and provides the Digital Services "as is".
Our liability is limited as described in the Limitation of Liability section.

Third Parties

DriveLane is not responsible for links to third-party websites, apps, or services.
We may participate in affiliate marketing programs.

Termination

DriveLane may terminate your account or access to the Digital Services at any time without prior notice.

Governing Law

The Terms of Use shall be governed by the laws of the State of New York, USA.

1. Application and Acceptance

These Terms of Use constitute a binding contract between you and DriveLane. By accessing or using the Digital Services, you agree to be bound by this Agreement. The Digital Services are for general information, discussion, and entertainment purposes only. We make no representations or guarantees about any aspect of the Digital Services.

2. Our Role

The Digital Services provide a platform for vehicle listings and information services. We are not the creator or owner of items posted by Sellers. Sellers are responsible for ensuring their listings meet all applicable laws and that goods are described accurately.

DRIVELANE IS NOT AN AUTOMOBILE BROKER, DEALER OR TRADITIONAL AUCTIONEER. We do not sell, buy, negotiate, or attempt to negotiate sales of vehicles listed on the Digital Services. We have never held title, inspected, or had legal possession of any vehicle listed.

3. Privacy Notice

We will use your information in accordance with our Privacy Notice. Please review our Privacy Notice to understand our privacy practices.

4. Account and User Conduct

You are responsible for maintaining the confidentiality of your account credentials. Your use of the Digital Services must comply with:

All posted guidelines and policies

Prohibited activities include but are not limited to:

Criminal or unlawful conduct
Posting unlawful, harmful, or inappropriate content
Infringing on others' intellectual property rights
Collecting personal information from other users without consent
Impersonating others or interfering with the Digital Services
Transmitting fraudulent funds or violating payment card rules

5. Bidding and Auctions

Sellers may set a Reserve (minimum acceptable bid) or list with No Reserve. Bids express your interest in purchasing but do not create a binding contract by themselves. Buyers and Sellers must negotiate final terms separately.

Important: We do not inspect vehicles or other goods listed on the Digital Services. You acknowledge that DriveLane bears no risk associated with purchasing vehicles listed on the platform.

6. Fees and Payments

You agree to pay applicable fees for purchases and listings. All payments are processed through third-party payment processors. Prices are set by Sellers and may exclude taxes and other fees.

7. Disclaimers

THE DIGITAL SERVICES ARE PROVIDED "AS-IS" WITHOUT WARRANTIES OF ANY KIND.

We do not warrant that the Digital Services will meet your requirements, be uninterrupted, secure, or error-free. We do not endorse or guarantee any products or services advertised by third parties. We are not responsible for errors in listings or information provided by Sellers.

8. Limitation of Liability

IN NO EVENT SHALL DRIVELANE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

Our total liability to you for any damages shall be limited to the greater of (a) fifty US dollars ($50) or (b) amounts you've paid DriveLane in the prior 12 months.

9. Dispute Resolution (Arbitration)

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.

Except for intellectual property claims, any disputes must be resolved through binding arbitration on an individual basis rather than jury trials or class actions.

YOU AGREE THAT BY ENTERING INTO THIS AGREEMENT, YOU AND DRIVELANE ARE EACH WAIVING THE RIGHT TO TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.

10. Changes to Terms

We may revise these Terms of Use at any time. Your continued use of the Digital Services after changes are posted constitutes acceptance of the revised terms.
